1. Definitions
For purposes of this Agreement, the following terms have the meanings set forth below:
- "Affiliate Account" — the account created by the Affiliate to participate in the Program.
- "Affiliate Code" — the unique tracking link(s) or identifier(s) provided to the Affiliate to track referrals.
- "Affiliate Platform" — any third-party platform designated by Alohi to administer, track, or manage the Program (e.g., Partnerstack).
- "Affiliate Website" — any website, application, software, platform, or other medium used by the Affiliate to promote Alohi Products.
- "Alohi Products" — Sign.Plus and Fax.Plus services and associated offerings.
- "Brand Assets" — Alohi's trademarks, trade names, logos, service marks, and other brand identifiers.
- "Commission Fee" — the remuneration payable to the Affiliate for a Qualified Action, as determined in accordance with this Agreement.
- "Qualified Action" — a valid action by a Referred User that meets all conditions set forth in Section 4 for generating a Commission Fee.
- "Referred User" — any user who accesses Alohi Products through an Affiliate Code.
2. Program Overview
The Program enables you to promote Alohi Products through your Affiliate Website and marketing channels (including email, social media, and other electronic marketing methods) and earn Commission Fees for purchases made by Referred Users.
3. Enrollment and Affiliate Obligations
3.1 Application Process
To enroll, complete an application via the Alohi Website. All information provided must be accurate, current, and verifiable. You may maintain only one Affiliate Account unless otherwise approved by Alohi in writing.
3.2 Application Approval
Alohi may approve, reject, or cancel your application at its sole discretion. Approval may be limited to specific Alohi Products and does not preclude future re-evaluation. Alohi reserves the right to suspend or terminate your account if:
- You engage in misleading, defamatory, or illegal promotion of Alohi Products
- Your activities adversely affect Alohi's commercial reputation or brand
- You use non-functional technical infrastructure (inactive websites, empty blogs, parked domains)
- You infringe any copyright, trademark, or intellectual property rights
- You violate any provision of this Agreement
- You engage in any conduct that, in Alohi's sole judgment, is detrimental to Alohi's interests, users, partners, or commercial relationships
3.3 Prohibited Practices
The following practices constitute material breaches of this Agreement:
- a) Spam: Unsolicited bulk messaging via any electronic medium. If you operate a newsletter or bulk messaging service, you must provide evidence of opt-in consent upon request.
- b) Cookie Stuffing: Setting Affiliate cookies without user knowledge or consent, or generating hidden/forced clicks through iframes, images, popups, JavaScript, or Flash-based techniques.
- c) Unauthorized Pop-ups/Pop-unders: Serving pop-up or pop-under impressions without specific written approval. Visitors must arrive at Alohi Products through manual, direct user clicks.
- d) Improper Search Engine Marketing:
- Bidding on keywords containing "Sign.Plus", "Dial.Plus", "Fax.Plus", "Scan.Plus", "Alohi" or variations/misspellings in PPC programs without specific approval
- Using Affiliate links directly in PPC ads
- Using domain forwarding or masking when directing visitors to Alohi Products
- Employing black-hat SEO practices or link schemes that violate search engine guidelines
- e) Unauthorized Account Transfer: Leasing, assigning, or transferring Affiliate Account rights without Alohi's prior written consent.
3.4 Compliance and Review
Alohi reserves the right to review your placement of Affiliate links, promotional materials, and marketing practices at any time and require modifications to comply with these guidelines. You are solely responsible for your Affiliate Website's design, development, operation, maintenance, and all content appearing on it.
4. Regulatory Compliance and Advertising Standards
4.1 Legal Compliance
You agree to comply with all applicable laws, regulations, and industry standards relating to advertising, marketing, and consumer protection, including:
- U.S. Federal Trade Commission (FTC) guidelines on endorsements, testimonials, and advertising disclosures
- European Union consumer protection and unfair commercial practices laws
- All other applicable international regulations
4.2 Disclosure Requirements
You must clearly and conspicuously disclose your affiliate relationship in all promotional materials in a manner that is truthful, transparent, and compliant with applicable law.
4.3 Prohibited Conduct
You shall not engage in misleading, deceptive, or unfair practices in connection with promoting Alohi Products.
5. Affiliate Codes and Qualified Actions
5.1 Affiliate Codes
Upon acceptance into the Program, you will receive unique Affiliate Codes to identify traffic from your Affiliate Website. You are responsible for:
- Properly placing Affiliate Codes on your Affiliate Website
- Ensuring Affiliate Codes include appropriate formatting for proper referral tracking
- Maintaining the integrity and functionality of your Affiliate Codes
5.2 Qualified Actions
Commission Fees are paid only when a Referred User completes a "Qualified Action," which requires that the Referred User:
- Clicks through an Affiliate Code to Alohi Products
- Completes the signup process
- Makes a purchase
- Is a genuine human user (not bot-generated)
- Does not use pre-populated fields
- Completes all required information within the allowed timeframe
- Is not later determined to be fraudulent, incomplete, unqualified, or duplicate
5.3 Cookie Duration and Attribution
Referred User cookies are valid for thirty (30) days. In cases where a Referred User clicks multiple Affiliate links from different providers, only the last-click attribution will be honored. Any attempt to manipulate the referral system may result in account suspension, immediate termination, and forfeiture of Commission Fees.
5.4 Acceptable Advertising Methods
You may promote Alohi Products through: text links, widgets, graphical banners or other Affiliate linking tools on your Affiliate Website, and approved electronic messaging (with proper opt-in consent).
6. Brand Usage and Trademark Guidelines
6.1 Limited License
Subject to compliance with this Agreement, Alohi grants you a limited, non-exclusive, non-transferable, revocable license to use Alohi Brand Assets solely for promoting Alohi Products under the Program.
6.2 Restrictions
You shall not:
- Modify, alter, or create derivative works of Brand Assets
- Register or use domain names, social media accounts, or identifiers confusingly similar to Alohi Brand Assets
- Represent yourself as Alohi or as having authority to bind Alohi
6.3 Goodwill
All goodwill arising from use of Brand Assets inures exclusively to Alohi's benefit.
7. Affiliate Platform and Third-Party Services
The Program is administered through one or more Affiliate Platforms designated by Alohi. You agree to comply with all applicable terms, conditions, and policies of such platforms in addition to this Agreement. Tracking, attribution, reporting, and payment calculations are determined solely by Alohi and/or the Affiliate Platform and are final and binding. In the event of any conflict between this Agreement and Affiliate Platform terms, this Agreement shall prevail unless expressly stated otherwise in writing by Alohi.
8. Commission Fees
8.1 Commission Structure
You will receive a Commission Fee for every Qualified Referral processed through your Affiliate Code. A Qualified Referral is defined as a referred customer who either purchases an annual plan or completes two (2) consecutive monthly renewals. Commission rates may vary or change at any time based on sales volume, partnership terms, and other factors determined by Alohi in its sole discretion. Alohi will endeavor to provide at least fifteen (15) days' advance notice prior to reducing commission rates on existing campaigns.
8.2 Payment Conditions
Commission Fees are payable only after Alohi receives payment from the Referred User. In the event of chargebacks, refunds, or cancellations, corresponding Commission Fees will be canceled. Commissions become payable only for Qualified Actions validated and approved in the Affiliate Platform. Payments are processed automatically once the applicable review/validation period has elapsed and the minimum payout threshold has been met.
8.3 Monthly Invoice Cycle
Commission invoices are generated on the first day of each month for approved commissions from the prior month. Each invoice is subject to a seven (7) full-day review period during which Alohi may review, validate, and adjust commissions to correct tracking errors, invalid Qualified Actions, chargebacks, refunds, or other discrepancies. Unless paused, invoices are automatically processed at the end of the seventh day.
8.4 Payment Requirements
To receive payments, you must maintain an active Affiliate Account, provide complete and accurate payout details (including required tax information) in the Affiliate Platform, and keep your payment information current. Alohi is not liable for lost payments due to incorrect payment details you provided.
8.5 Currency
All Commission Fee payments are made in U.S. Dollars, regardless of the currency in which Referred Users pay.
8.6 Disputes
If you disagree with any Commission Fee amount, submit a written request for revision with supporting documentation within thirty (30) days of the invoice date. Alohi will review your request within ten (10) business days and provide a final decision. Failure to submit within this timeframe results in irrevocable waiver of claims related to that invoice. Submission of a written revision request is the Affiliate's sole and exclusive remedy with respect to any Commission Fee dispute.
8.7 Account Restrictions
Alohi reserves the right to place restrictions on your Affiliate Account or notify authorities if illegal activity is suspected, and to charge back previously paid commissions later determined not to meet Qualified Action requirements.
9. Affiliate Representations and Warranties
You represent and warrant that:
- You are legally capable of entering this Agreement
- This Agreement is validly executed and enforceable against you
- All information provided in your application and Affiliate Account is true, accurate, and verifiable
- You will use only one Affiliate Account (unless otherwise approved in writing)
- You are solely responsible for your Affiliate Website, including design, development, operation, maintenance, costs, and all content
- You will not violate any laws, regulations, or third-party rights
- Each Qualified Action you refer is valid, genuine, unique, not fraudulent, and meets all requirements for generating a Commission Fee
10. Term and Termination
10.1 Term
This Agreement is effective from the date of approval and continues until terminated by either party.
10.2 Termination Without Cause
Either party may terminate this Agreement without cause by providing thirty (30) days' written notice.
10.3 Termination for Cause
Alohi may terminate this Agreement immediately without notice for material breach, potential claims or liability arising from your participation, or potential harm to Alohi's brand or reputation. Any violation of Sections 3, 4, 5, 6, or 9 constitutes a material breach.
10.4 Effects of Termination
Upon termination:
- You are eligible to earn Commission Fees only for Qualified Actions generated prior to the effective date of termination.
- You must immediately cease use of all Affiliate Codes and remove all Alohi Product links, Brand Assets, and promotional materials.
- Termination for cause: all outstanding and unpaid Commission Fees shall be automatically forfeited. Alohi may additionally recover previously paid Commission Fees.
- Termination without cause: outstanding Commission Fees for Qualified Actions completed prior to the termination date will be processed in accordance with the standard payment cycle in Section 8.3.
The following Sections survive termination: 6.3, 8.6, 8.7, 9, 11, 12, 13, 14, 15.7, and 16.

12. Indemnification
You agree to indemnify, defend, and hold harmless Alohi, its parents, subsidiaries, officers, employees, and contractors from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of Alohi Products or Websites, your breach of this Agreement, your violation of any law or third-party right, or your promotional activities under this Agreement. Alohi reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
13. Data Protection and Privacy
13.1 Independent Controllers
Each party acts as an independent data controller with respect to personal data processed in connection with the Program.
13.2 Compliance
You agree to comply with all applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR), and shall not collect, process, use, disclose, or transfer personal data except where lawfully permitted.
13.3 Prohibited Use
You shall not sell, rent, or misuse any personal data obtained in connection with the Program.
14. Taxes
You are solely responsible for payment of all taxes, duties, levies, and governmental charges arising from Commission Fees earned under this Agreement. Alohi does not provide tax advice and may require you to provide tax documentation where required by law.
15. General Provisions
15.1 Assignment
Neither party may assign this Agreement without prior written consent, except Alohi may assign in connection with a merger, reorganization, acquisition, or transfer of substantially all assets. Any unauthorized assignment is void.
15.2 Notices
All notices must be in writing. You must submit notices through the Alohi Website contact forms. Alohi may send notices to your verified email address. You consent to electronic notices and are responsible for ensuring Alohi.com, Sign.Plus, and Fax.Plus domains are not blocked by spam filters.
15.3 Independent Contractors
The parties are independent contractors. This Agreement does not create a partnership, joint venture, employment, franchise, or agency relationship.
15.4 Force Majeure
Neither party is liable for delays or failures due to causes beyond reasonable control, including strikes, natural disasters, pandemics, terrorism, or government actions.
15.5 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
15.6 Waiver
No waiver is implied from conduct or failure to enforce rights. Waivers must be in writing and signed by an authorized representative. Waiver of one breach does not waive future breaches.
15.7 Confidentiality
All confidential information disclosed by one party to the other remains the disclosing party's property. Each party shall maintain confidentiality and not use or disclose such information without express written permission.
15.8 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and communications regarding the subject matter.
15.9 No Third-Party Rights
Nothing in this Agreement confers enforcement rights on any third party.
15.10 Changes to Affiliate Program Terms and Commission Structure
Alohi reserves the right, at any time, to terminate or make changes to Commission Fees, rates, and structures; Qualified Action requirements; the Program, including its features, availability, and administration; and this Agreement. Such changes may be made without prior notice and will be effective immediately upon publication of the updated version on the Alohi Website. Your continued participation in the Program following any modification constitutes your unconditional acceptance of the amended Agreement.
16. Governing Law and Dispute Resolution
This Agreement is governed by and construed in accordance with Swiss law, without regard to conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland. You irrevocably waive your right to initiate proceedings in any other jurisdiction.

This Affiliate Program Agreement was last updated on on March 30 2026 and is effective immediately.
